This code applies to all members of the Director Institute Next Generation Directors (Director Institute). Members are to act in accordance with the Director Institute Member Code of Conduct at all times. It is the members obligation to have read and understood the code of conduct and the policies affecting them.
MEMBER CODE OF CONDUCT
- It is the responsibility of all members to access the information, resources and benefits of their membership with Director Institute. A failure to access the benefits of the membership are the responsibility of the member and Director Institute will not be held accountable.
- It is the responsibility of all members to regularly check their emails for news and alerts from Director Institute.
- It is the responsibility of all members to actively search the Job Board for any board vacancies.
- Members have an obligation to comply, at all times, with the principles of this Code.
- Members are required to act honestly, in good faith and in the best interests of Director Institute.
- Throughout the board search process, it is expected that members will maintain a high level of professional conduct and overall respect for business referrals.
- Members are to treat all representatives of Director Institute with respect, dignity, courtesy and sensitivity.
- Members must respect the privacy of all Director Institute representatives and other participants.
- Members must not become involved in, or encourage, discrimination against or harassment or bullying of Director Institute representatives or other members.
- Members are not to make improper use of any information acquired as part of their membership.
- Members are not to disclose confidential information regarding board search assignments to other members or third parties.
- Members are not to disclose any information in respect of the Director Institute Board Roles to third parties.
- Members are not to disclose sensitive recruitment information before, during or after the process, to other members or third parties.
- Confidential information received by the member in the course of their membership remains the property of Director Institute and it is improper to disclose it, or allow it to be disclosed, unless that disclosure has been authorised by Director Institute, or is required by law.
Breach of conduct
- Members are prohibited from engaging in conduct that is likely to bring discredit upon Director Institute.
- Members are prohibited from posting messages, on any public forum, or social media websites that contains defamatory or other inappropriate material.
- Members are to ensure their actions or inaction do not harm, or bring into disrepute, Director Institute’s reputation or good standing.
- Where a participant is suspected to have breached this code of conduct, Director Institute will investigate the matter.
- If the suspected breach is found to be proven, Director Institute reserves the right to apply appropriate penalties, including removal of members from the membership (at the member’s cost).
It is expected that members will maintain a cooperative and collaborative approach at all times. If a dispute arises in connection with a participant’s membership, a party to the dispute must give to the other party or parties to the dispute notice specifying the dispute and requiring its resolution. The parties must confer within 3 days after notice is given to try to resolve the dispute.
If the dispute is not resolved within 7 days, the dispute is required to be submitted to mediation. The mediation must be conducted in Sydney. Such mediation is to be conducted by a mediator who is independent of the parties and appointed by agreement of the parties, or failing agreement within 7 days of receiving any party’s notice of dispute, by a person appointed by the President of The Law Society of New South Wales. The parties must pay the mediator’s remuneration in equal shares. Each party must pay its own costs of the mediation.
It is a condition precedent to the right of either party to commence arbitration or litigation, other than for interlocutory relief, that it has first offered to submit the dispute to mediation.
